Terms of Service

1. Acceptance of Terms

By accessing or using the FieldTempo platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

FieldTempo is a cloud-based business management platform designed for service companies. The Service provides tools for job scheduling, client management, team coordination, estimates, invoicing, and reporting. Features may vary by subscription plan.

3. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• You must notify us immediately of any unauthorized use of your account.
• You must be at least 18 years old to create an account.

4. Subscription Plans and Billing

4.1 Free Trial

New accounts receive a 7-day free trial with full access to all features. At the end of the trial, you must select a paid plan to continue using the Service.

4.2 Paid Plans

Paid subscriptions are billed monthly in advance. Plans differ in the features they include and in the number of team seats included, and additional seats may be added for a per-seat monthly fee. The current plans, their prices, included seat counts, and additional-seat fees are those listed on our pricing page, which is incorporated into these Terms by reference.

Your subscription automatically renews each month until canceled. Before purchase, the checkout flow displays the recurring price, billing interval, and material plan terms. You may cancel through account billing settings or by contacting support.

4.3 Payment

Payments are processed securely through Stripe. You authorize us to charge your payment method for the applicable subscription fees. If payment fails, we may suspend access to the Service until payment is resolved.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Your data remains accessible for 30 days after cancellation. Nothing in this section limits any refund, cancellation, or renewal right that cannot lawfully be waived.

4.5 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

4.6 Taxes and Price Changes

Fees exclude applicable taxes unless stated otherwise. We may change future subscription prices with advance notice required by applicable law. A price change does not apply retroactively to a completed billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Upload or transmit malicious code, viruses, or any harmful content.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, data mine, or use automated tools to access the Service without authorization.
• Resell, sublicense, or redistribute the Service without our written consent.
• Use the Service to store or transmit content that infringes intellectual property rights.
• Use the Service to send unlawful, deceptive, unsolicited, or non-consensual email or text messages.
• Use the Service for emergency dispatch, life-safety communications, or any use where delayed or failed delivery could cause physical harm.

6. Customer Compliance Responsibilities

You are responsible for the legality, accuracy, and source of Your Data and for providing notices and obtaining permissions required from your clients, workers, and other individuals. This includes permissions for text messaging, email marketing, payment methods, photos, precise location tracking, employee monitoring, and recordings or communications made through the Service. You must honor opt-outs and configure the Service consistently with the laws that apply to your business.

FieldTempo is a business operations platform and is not a substitute for legal, accounting, tax, employment, safety, or professional advice. The Service is not represented as compliant with HIPAA, PCI DSS merchant obligations beyond our payment-provider integration, or any industry-specific recordkeeping regime unless a separate signed agreement expressly says otherwise.

7. Your Data

6.1 Ownership

You retain all rights to the data you input into the Service ("Your Data"). We do not claim ownership of Your Data.

6.2 License Grant

You grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

6.3 Data Export

You may export Your Data at any time while your account is active. We provide CSV export functionality for your business data.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content, is owned by QuantumLoopLabs LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Third-Party Integrations

The Service may integrate with third-party services such as QuickBooks and calendar applications via iCal. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUMLOOPLABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. QUANTUMLOOPLABS LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless QuantumLoopLabs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 10, 11, 12, and 14) shall survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
